THIS PARTNERSHIP AGREEMENT is made the 6th day of July, Two Thousand and Twenty Two (06-Jul-2022) between: THE UBUNTU VILLAGE ZANZIBAR DAO, whose public address is 0x1Da276eCD8eE0A09a4668E3A1802C8d2Fa34f61f on the Ethereum blockchain network, represented by delegation by Joel Smalley, resident of the United Kingdom and holder of UK passport no. 533637039 (“First Partner”) AND MCHA RAMADHAN BAKAR, resident of Zanzibar and holder of ZID no. 19680701-73209-00019-29 (“Second Partner”) WHEREBY IT IS AGREED that the parties hereto (herein together called the “partners”) shall become partners in the business of The Ubuntu Village, as described in Appendix A, from the date herein mentioned upon the terms hereafter: 1.\tThe partnership business shall be carried on upon the land owned by the Second Partner, situated to the northeast of Upenja, Zanzibar, and marked on the map in Appendix B; 2.\tAll costs associated with the development of the land and assets on the land shall be borne by the First Partner; 3.\tAll the assets developed on the land shall remain the property of the First Partner. The Second Partner has no right to occupy, lease, dispose of, or in any other way, exploit the developed land or assets; 4.\tAll the revenue generated by the partnership shall accrue to the First Partner; 5.\tFull compensation for the use of the land for the purposes of the partnership is deemed to have been paid in the form of UVZ tokens on the Ethereum network at address 0xa5eC8b526d0C9205B97B93c7C08fFDe5d40cBb66; 6.\tThe land cannot be used for any other purpose except as proposed and agreed upon by the members of the Second Partner; 7.\tThe Second Partner shall not, without the written consent of the First Partner: a.\tAssign, mortgage, or charge his interest or share in the partnership; b.\tIntroduce any other partner. 8.\tIf either partner commits any breach of the terms of this Agreement, the other partner may dissolve the partnership, at their discretion, within three months of notifying the other partner of their intentions, subject to the other partner not remedying the breach within the same timeframe. 9.\tEither party may terminate the Agreement for any reason, upon giving the other partner twelve months’ notice. 10.\tThis Partnership Agreement may be amended at any time with the consent of both partners in writing.
